“On January 13, 2017, the Securities and Exchange Commission ("SEC") announced a settlement (the “Order”) to resolve an administrative action with Morgan Stanley Smith Barney LLC (“ MSSB”) concerning, among other issues, advisory fee-billing errors; failure to conduct annual surprise custody examinations for the years 2011 and 2012, and not maintaining certain client contracts. MSSB has reimbursed excess fees received as a result of the billing errors, plus interest, to affected clients. In addition, as part of the Order, MSSB consented to certain undertakings related to fee billing, books and records and client notices and to pay a civil penalty in the amount of $13 million.
