YOUR MORGAN STANLEY AT WORK STOCK PLAN ACCOUNT
1. How do I set up my stock plan account with Morgan Stanley?
From Amazon Stock, go to "View Available Brokers" then "Select Morgan Stanley" and click on "Yes, create account at Morgan Stanley". This will initiate single sign-on (SSO) to begin the account opening process.
SSO means that Amazon has created a secure link from the Amazon Stock portal to Morgan Stanley at Work's website, so you don't need to enter your credentials (your username and password) each time you access your stock plan account from the portal.

2. What do I need to know about the tax certification process? How do I prevent backup withholding?
After opening your Morgan Stanley at Work stock plan account, you will be asked to complete a tax certification. If your stock plan account is not certified, the proceeds from any stock sale may be subject to U.S. backup withholding at 24%.
All employees opening a stock plan account must certify their tax status, either with a Form W-9 or a Form W-8BEN; if you certify with a Form W-8BEN you must recertify every 3 years. Please see our registration and tax certification how-to guide here.
Failure to provide a tax form may result in U.S. backup withholding of 24% on proceeds. Backup withholding is not an additional tax. Amounts withheld as backup withholding may be credited against your US federal income tax liability. Morgan Stanley at Work will provide you with a Form 1099 after the end of the year that shows the amount of backup withholding withheld.
3. Are there restrictions on the address I can use when certifying my W-9 or W-8BEN tax form?
Yes. If you are certifying with Form W-8BEN, you must enter your permanent residence address on the form, as required by the U.S. Internal Revenue Service. Your address will be pre-populated based on information from your profile.
If you are certifying with Form W-9, you may enter a mailing address (such as a post office box), or your residence address.
4. Does Morgan Stanley accept mail-in forms to complete the tax certification process?
Tax certification is completed online without having to mail forms. However, mail-in forms are available if necessary. For more information, please contact the Morgan Stanley Service Center.
5. How do I sell my shares?
You may sell your shares as soon as they are deposited into your Morgan Stanley at Work stock plan account, subject to trading windows and/or restrictions under the Amazon Insider Trading Policy. For instructions on selling your shares, see our guide here.

7. Can I transfer vested shares held at another broker into my Morgan Stanley at Work stock plan account?
No. Your vested shares held at another broker cannot be transferred to your stock plan account..
As a U.S. resident, you may be eligible for a Morgan Stanley Access Direct account. Click here to learn how to open your account. Once your account is open, contact the service team at 1-866-227-2737 for assistance in completing your share transfer.
As a Non-U.S. resident, please contact amazonstock@morganstanley.com and include your full name, telephone number and Amazon Employee ID. Once your limited purpose brokerage account is established, the service team can assist in completing your share transfer.

10. Can I see my stock plan accounts from a previous employer?
If Morgan Stanley provided stock plan services to your previous employer, you can access that stock plan account here. You will need to log in using your username and password. Please note that you cannot see these stock plan accounts through your single sign-on experience via the Amazon Stock portal. You will need to open a new browser window and go to atwork.morganstanley.com directly.
If you don't remember your username and password, you can use the forgot username/forgot password links, or contact the Morgan Stanley Service Center for assistance.
11. How do I update my preferred/legal name on my Morgan Stanley at Work stock plan account?
Current Amazon employees should initiate any name changes through PeoplePortal. Once the update is effective with Amazon, it will automatically update your name on your stock plan account. If you make changes with Morgan Stanley Global Stock Plan Services first, changes will be overwritten by the information sent from Amazon. Therefore, you must initiate your name change with Amazon through PeoplePortal. WFM team members and Zoox crew should visit Workday to update their preferred or legal name.
If you are an inactive employee or no longer work for Amazon, you can send a Global Stock Plan Services Letter of Authorization for Address Change form and documentation to show your legal title (name) change. This form is available here in the forms section on the login screen.

12. What if I leave Amazon? How would I access my stock plan account?
You may go here and use your current username and password.
If you don’t remember your username or password, you can use the forgot username/forgot password links or contact the Morgan Stanley Service Center for assistance.
13. How do I change my address on my Morgan Stanley at Work stock plan account?
Amazon employees should change their address through PeoplePortal. The update will automatically carry over to your stock plan account. WFM team members and Zoox crew should visit Workday to update their address.
Please note, that if you change your address through PeoplePortal or Workday, it will not carry over to your tax certification. To change your address on your tax profile, go to Morgan Stanley at Work Stock Plan Account > Profile > Miscellaneous Account Information > Manage Tax Certification Form, and update accordingly. This will decertify your W-9 or W-8BEN tax form so you will need to recertify.

ABOUT RESTRICTED STOCK UNITS (RSUs), FRACTIONAL SHARES AND FRACTIONAL CASH
1. What are Restricted Stock Units (RSUs)?
A Restricted Stock Unit (RSU) is the right to receive a share of Amazon.com common stock in the future, provided that you meet certain conditions. Amazon distributes the shares after the conditions (also called the vesting requirement) are met. At Amazon and its subsidiaries, the vesting requirement is time-based, meaning that the shares are issued after a set period of time from your hire or award date. Vesting periods are listed on your Amazon RSU Award Agreement, found on the Amazon Stock portal.
2. Are Restricted Stock Units (RSUs) taxed?
Depending on your location, the value of your RSUs is considered taxable income to you. Where required, Amazon will report your RSU income and taxes paid through payroll; depending on your jurisdiction, details may be available on your pay statement. Tax laws are complex and vary by country and local tax jurisdiction. Tax summaries by country are located on Inside Amazon for your reference. We encourage you to consult a tax advisor regarding the personal tax consequences of any RSU transaction.
3. How do I pay taxes when my Restricted Stock Units (RSUs) vest?

For employees in locations with tax withholding upon RSU vest, there are three tax elections methods available:
1) Sell Shares to Cover Taxes (the default)
2) Sell All Shares
3) Pay Cash to Cover Taxes
If you do not make an election prior to two calendar days before the vest date, your tax payment will default to the Sell Shares to Cover Taxes method.
For Sell to Cover Taxes, you can choose to receive fractional cash or fractional shares upon settlement of your RSU Vest (see the next FAQ for more details on fractional cash or shares). This election can be made by visiting the Amazon Stock Portal to change your fractional cash/shares (“fractional”) election for upcoming RSU vest events. You are encouraged to make fractional elections no less than one day prior to your scheduled RSU vest date. The Amazon Stock Portal is available at www.amazonstock.com while on the Amazon network or available via single sign-on from A to Z resources, available through myapps.wholefoods.com for Whole Foods Market team members, or via the Amazon Stock portal tile on your MyApplications (Azure) dashboard, or zoox.amazonstock.com on the Zoox network for Zoox crew. 4. What is fractional cash or fractional shares from a Restricted Stock Unit (RSU) vest transaction?
If your tax election is set to “Sell enough shares to cover taxes and fees, receive balance as shares”, this tax sale can be in whole shares or fractional shares depending upon your fractional settlement election made on the Amazon Stock portal. The default election is fractional cash; if that is your election at the time of RSU vest, there may be some remaining proceeds from the fraction of the share sale that was not needed for taxes. Any proceeds remaining after your tax withholding is satisfied will be refunded to you through local payroll and is known as fractional cash. If fractional shares is elected, then any remaining fraction of a share will be deposited along with any whole shares and there would be no cash refund.

1. What are the password guidelines for the Morgan Stanley at Work Stock Plan Account?
Your password must be between eight and 20 characters and must include at least one number and one letter. Passwords are case-sensitive and cannot contain spaces. All special characters and symbols are allowed except for "<" and ">."
Remember: You are responsible for the confidentiality of your login credentials.

2. How do I log off the site and what happens if I forget to log off?
To log off completely without disconnecting from the Internet, simply go to the top right corner of the Dashboard, select your name and click on the sign-out button. To re-enter the site, click Go to Morgan Stanley at Work Stock Plan Connect in the top right corner of Amazon Stock. Alternatively, you can always log in by going here and entering your user name and password. For privacy and security reasons, you should always log off completely when you have finished accessing your account information.
If you have been inactive on the site for 20 minutes, your browser session will automatically end. To return to the site, you are required to use the link on Amazon Stock to re-enter your login credentials.
3. Can I check the background of Morgan Stanley or of a Morgan Stanley Financial Advisor?
Yes, you can check the background of Morgan Stanley and its investment professionals by visiting FINRA's Broker/Check.

1. How can I download the Morgan Stanley at Work app on my mobile device?
Step 1: Search for Morgan Stanley at Work in the app store on your mobile device.
Step 2: Download the app by selecting “Get” or “Install” and follow the onscreen instructions.
