Morgan Stanley Code of Ethics and Business Conduct

The Morgan Stanley Code of Ethics and Business Conduct (the “Code”) was amended, effective July 12, 2010, to update the section on Reporting Misconduct, including clarification of reporting lines; add a reference to the Foreign Corrupt Practices Act and its related prohibitions; expand on the technology and communication facitlities included in the section regarding regulation of Morgan Stanley's systems and assets; and to make other minor, clarifying edits to the Code.
