Morgan Stanley took top honors in four major categories, including Breakthrough Deal of the Year, at the Third Annual Investment Dealers' Digest Awards Ceremony, held January 17 at the Rainbow Room in New York City.
The Firm won the prestigious Breakthrough Deal of the Year award for representing Time Warner in its $165 billion merger with America Online. "We look for deals that challenge bankers, showing creativity, impact on the market, and size, in that order," IDD said in the January 8 awards issue. "AOL/Time Warner clearly met all of those qualifications. It was audacious not just in size, but for its vision of combining content and distribution."
Morgan Stanley also captured:
Energy Deal of the Year for advising Texaco Inc. on its pending merger with Chevron Corp.
Media/Telecom Deal of the Year for advising Seagram & Co. in its three-way merger with Vivendi SA and Canal Plus SA.
Technology Deal of the Year for advising Seagate on a three-way merger with VERITAS Software and an investor group organized by Silver Lake Partners and Texas Pacific Group. This transaction represents the largest technology leveraged buyout in history and the third-largest technology mergers and acquisitions transaction ever.
Morgan Stanley was also recognized for its role in breakthrough deals in three industry sectors.
Technology
Covisint: Morgan Stanley was sole advisor to Ford Motor Company and General Motors Corporation on the formation of Covisint, the first industry-sponsored business-to-business integrated exchange. Covisint is distinguished as the world's largest Internet virtual marketplace company.
Energy
AES Corp.: Morgan Stanley advised AES on its acquisition of EDC, the first successful unsolicited transaction in Latin America.
Healthcare
- Morgan Stanley acted as bookrunner for Immunex Corp.'s $3.2 billion stock offering, the largest-ever biotech stock offering and the second-largest U.S. follow-on stock offering.
- Morgan Stanley advised SmithKline Beecham Plc's on its $78 billion merger with Glaxo Wellcome Plc.
