Morgan Stanley received several mentions in Investment Dealer's Digest investment banking Breakthrough Deals of the Year awards, including Breakthrough Deal of the Year in technology for the Netscape/AOL merger and in financial buyers for the Chancellor Media/Capstar merger. Other Morgan Stanley transactions received recognition as well. A complete listing by sector is provided below.
Technology: In addition to winning Breakthrough Deal of the Year in technology, Morgan Stanley advised on all three of the additions deals that IDD chose to highlight:
- Morgan Stanley advised Bay Networks on its $9.1 billion acquisition Northern Telecom Ltd., creating, according to IDD, "the first telecom equipment provider capable of combining voice and data technology."
- Morgan Stanley advised Compaq Computer on its acquisition of Digital equipment in a "$9.6 billion cash and stock deal [that] creates a major force in the high tech landscape by joining DEC's corporate serer sales and Compaq's PC business.
- Morgan Stanley priced Broadcom's $84 million IPO and then later a $238 million secondary offering, which along with its introduction of new chip technology, IDD notes, shows the Company's "staying power."
Energy: IDD listed two Morgan Stanley transactions as breakthrough deals:
- Morgan Stanley priced Conoco's $4.4 billion IPO, the largest U.S. IPO in history and also IFR's 1999 U.S. Equity Issue of the Year.
- Morgan Stanley advised Amoco on its $63.8 acquisition by British Petroleum Co., a "formidable combination [that] stepped up pressure" on competitors. The August deal was the largest-ever industrial merger at announcement.
Media:
Morgan Stanley received recognition for its role as advisor to Seagram in "the beverage and media titan's $10 billion acquisition of the world's largest record company
" according to IDD. The transaction combines Universal Records and Polygram and creates the Universal Music Group, an entity with grater than $9 billion in music revenues and number one global record market share of at least %20.
Emerging Markets:
IDD recognized the privitization of Telebras, Brazil's national telephone company in July 1998 due to its size as the second-largest state auction ever. The deal was also one of ECM/World Equity's 1998 Privitization Auction of the Year.
Financial Buyers:
- Morgan Stanley advised Chancellor Media Corp. in its merger with Capstar Broadcasting Corp., the IDD Financial Buyers Breakthrough Deal of the Year. The merger, valued at $2.24 billion, creates the U.S. biggest radio company, and according to IDD, "the new company to be called Chancellor Media will have a weekly listening audience of more than 65 million, and arguably the most far-reaching distribution of all its competitors, ranging from the largest to the smallest markets."
Structured Finance: Morgan Stanley transactions received two mentions in IDD's structured finance category:
- In January, Morgan Stanley launched and priced a $750 million, multi-tranche, multi-currency euro-fungible transaction for Chase Credit Card Trust, the securitization vehicle for credit card receivables for Chase Manhattan Bank. This "strategy helped Chase bring in multiple European investors ahead of the expected bond boom overseas," said IDD.
- IDD
had this to say about Morgan Stanley's financing for Petroleos de Venezuela SA (PDVSA), also IFR's Americas Securitsation of the Year: "The largest structured financing ever from an emerging market country, the oil receivables deal achieved major cost savings versus similar Venezuelan sovereign debt and underscored the importance of securitization in emerging markets.
Financial Institutions:
Morgan Stanley advised Union Bank of Switzerland on its $23 billion merger with Swiss Bank Corp. IDD states that the "landmark European transaction formed the world's second largest bank, with roughly $650 million in assets
